Round 1) CIS on. While Spider-man normally wouldnt punch a little girl lets assume he knows how tough she is and wont understimate her.
Round 2) Both bloodlusted.

Spidey. He has the brains and intuitive spirit to beat someone like Toph in both scenarios. She's a really strong character but Spidey's had bouts with much worse.

Well, what if I make it an open arena with no buildings for Spidey to swing. Toph can create an armor and basically everything on the field is a weapon to her.

She's a character from Avatar (not the movie about halfnaked blue giants, but the show)
And a blind earthbender. Think of a mix between Terra, Daredevil, Thing and Magneto. Except she's 10 and awesome.

In a wide open area? What's the best option? Cover herself with rock, when Spider-Man comes in to play smashy she'll sense exactly where he is and then it's over. The entire ground is her weapon. The Spider-sense will be a problem though |

That's not an easy thing to do. Check out the fight vs earthbenders. Its just over a minute long. (And forgive the cheesy music its everywhere on youtube).
I have not desided on the fight myself.

Is Toph a better earth bender than the kooky old dude? You mean Bumi? Well, he did take over an entire city all by himself and dropped that HUGE skyscrapper-size statue on firebenders. Hard to say. He's more experienced clearly but she's got more potential being the first earhbender who figured out how to bend metal. They actually had an earthbending duel in a comic based on the show. Ended in a stalemate iirc. |

Spidey's battles with Sandman will help him out here, a great deal. Sandman has moved more sand than Toph has ever moved earth, from what I remember of the show.

I wouldnt compare Toph to Sandman. He's a tank character. Stays in one place and blasts with sand or with huge fists. Top is very quick herself and is all about precog.
But after reading the latest SM issue.. made up my mind and going with him. He's such a beast these days.
